Vinge advises Nordea and Swedbank in connection with K2A’s establishment of its MTN programme

Vinge has advised Nordea Bank Abp and Swedbank AB (publ) as lead arrangers and issuing agents in connection with the structuring, documenting and establishment of K2A Knaust & Andersson Fastigheter AB (publ) (”K2A”) unsecured medium term note programme (the “MTN Programme”). The MTN Programme is part of K2A’s debt financing and allows K2A to issue senior unsecured medium term notes in an aggregate amount of up to SEK 3,000,000,000 in SEK or EUR, with a minimum tenor of one year.

In contrast to customary MTN programmes, the MTN Programme was structured to be aligned with the terms and structure of high yield bonds issued on a standalone basis – making the MTN Programme one of the first of its kind in Sweden.

K2A has prepared a base prospectus which has been approved by, and registered with, the Swedish Financial Supervisory Authority.

 Vinge has advised Stockholm Exergi in connection with the conclusion of a permanent carbon removal agreement with Microsoft, covering 3.33 million tonnes of permanent carbon removals from bio-energy with carbon capture and storage (BECCS) at Värtan, Stockholm. The agreement is the world’s largest permanent carbon removal deal to date.
